The <\/span>Economic <\/span>Substance\u00a0<\/span>Regulations (ESR), <\/span>supplemented <\/span>by <\/span>guidelines <\/span>released <\/span>on <\/span>September <\/span>11, <\/span>2019, <\/span>were <\/span>issued <\/span>by <\/span>the <\/span>United <\/span>Arab <\/span>Emirates <\/span>Cabinet <\/span>of <\/span>Ministers.<\/span><\/div>\r\n
\u00a0<\/div>\r\n
However, the Economic Substance\u00a0Regulations <\/span>to <\/span>applies\u00a0<\/span>to <\/span>all <\/span>entities <\/span>engaged <\/span>in <\/span>a <\/span>related <\/span>operation <\/span>in <\/span>the <\/span>UAE.<\/span><\/div>\r\n

I<\/span>ncluding <\/span>entities <\/span>formed <\/span>in <\/span>free <\/span>zones <\/span>and <\/span>financial <\/span>free <\/span>zones.<\/span><\/div>\r\n

As part of the UAE’s commitment as a member of the OECD Inclusive Process, the UAE released ESR.<\/div>\r\n

Although, it was released on 30 April 2019 in response to an evaluation of the UAE’s tax framework by the European Union Code of Conduct Committee on Business Taxation.<\/div>\r\n

Guidance on the implementation of the Regulations was released on 11 September 2019 (Ministerial Decision No. 215 of 2019).<\/div>\r\n
\u00a0<\/div>\r\n
Meanwhile, the Regulatory Authorities charged with implementing and executing the Regulations are specified in Cabinet Decision No. 58\/2019 on the determination of regulatory competencies.<\/div>\r\n
\u00a0<\/div>\r\n
Scope of the Regulations<\/strong><\/h5>\r\n
Regulations were made by Resolution No. (57) of the Cabinet of Ministers of 2020 of 10 August 2020.<\/div>\r\n
\u00a0<\/div>\r\n
Although, the revised Guidelines were released on 19 August 2020. (Ministerial Decision No. (100) of 2020.<\/div>\r\n
\u00a0<\/div>\r\n
\u00a0The Regulations require onshore and free zone UAE companies and certain other business forms that carry out any of the ‘Relevant Activities’ specified below to maintain and demonstrate an adequate\u00a0“Economic <\/span>presence” <\/span>in <\/span>the <\/span>UAE\u00a0<\/span>in <\/span>relation <\/span>to <\/span>the <\/span>activities <\/span>they <\/span>perform.<\/span><\/div>\r\n
